Terms of Use
These Terms of Use ("Terms") govern your access to and use of ellipsisconnect.com and any related services (the "Services") provided by Ellipsis Staffing LLC, a Florida limited liability company doing business as Ellipsis Connect ("Ellipsis," "we," "us"). By using the Services, submitting a form, or otherwise engaging with us, you agree to these Terms. If you do not agree, do not use the Services.
1. Who these Terms are for
The Services connect (a) software engineers seeking representation and introductions to hiring companies ("Engineers") with (b) venture capital firms and their portfolio companies seeking to hire ("Companies"). Some provisions apply only to Engineers or only to Companies, as noted.
2. Eligibility
You must be at least 18 years old and legally able to enter a binding contract to use the Services.
3. The Services are not a guarantee
Ellipsis introduces Engineers to Companies. We do not guarantee that any Engineer will receive an interview, offer, or job, or that any Company will find a suitable hire. We do not guarantee compensation levels, timelines, or outcomes. Decisions to interview, extend an offer, or hire are made solely by the Company, and decisions to accept are made solely by the Engineer.
4. Engineers
4.1 Submitting your information. By submitting your resume, LinkedIn profile, or other information, you represent that it is accurate and that you have the right to share it, including any work samples or project descriptions that may be owned in whole or part by a current or former employer.
4.2 Representation. Engagement by Ellipsis is non-exclusive and does not create an employment, agency (in the legal sense of exclusive representation), or fiduciary relationship, and you remain free to seek opportunities independently. We will not share your information with your current employer. You may tell us at any time not to contact specific companies.
4.3 No fees to Engineers. Ellipsis never charges Engineers for representation, database inclusion, or introductions. We are compensated only by Companies. If this ever changes, this Terms and applicable state law on fees charged to job seekers must be reviewed before any fee is introduced.
4.4 Communications. By providing your phone number and giving verbal or written approval, you consent to receive text messages and calls from Ellipsis about your representation and opportunities. Message and data rates may apply. Reply STOP to opt out of texts at any time. Consent to receive texts is not a condition of using the Services.
4.5 Withdrawing. You may ask us to remove your profile from the database and stop representing you at any time by emailing team@ellipsisconnect.com.
5. Companies
5.1 Access. Access to the Engineer database or introductions is subject to a separate order form, subscription agreement, or placement agreement between Ellipsis and the Company or VC firm ("Order Form"), which will govern fees, payment terms, and placement fee obligations. These Terms apply in addition to any Order Form; if there is a conflict, the Order Form controls as to the subject matter it covers.
5.2 Permitted use. You may use information about Engineers only to evaluate them for a bona fide hiring purpose. You may not: resell, sublicense, or redistribute Engineer data; scrape or export the database beyond ordinary use; contact Engineers for purposes unrelated to hiring; or use Engineer data to build a competing product.
5.3 Non-circumvention. If a Company hires, engages, or contracts (directly or through a third party) any Engineer that Ellipsis introduced, referred, or made accessible through the database, within 12 months of the introduction, the Company remains responsible for the applicable placement fee as set out in the Order Form, whether or not the hire is made "on platform." This survives termination of the Company's access.
5.4 Equal opportunity. You represent that your hiring decisions will comply with applicable federal, state, and local anti-discrimination and employment laws, and that you will not direct Ellipsis to screen or exclude candidates on any prohibited basis.
6. Acceptable use
You will not: misrepresent your identity or qualifications; use the Services for any unlawful purpose; attempt to access accounts or data not belonging to you; interfere with or disrupt the Services; or use automated means (bots, scrapers) to access the Services without our written permission.
7. Intellectual property
The Services, including our website, branding, and content, are owned by Ellipsis or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services for their intended purpose. Engineers retain ownership of their resume and profile content and grant Ellipsis a license to use, reproduce, and share it as described in our Privacy Policy for the purpose of representation.
8. Third-party services
Our forms are hosted by Tally, and we may link to or integrate with LinkedIn, Instagram, and other third-party services. We do not control and are not responsible for third-party services, and your use of them is subject to their own terms.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INTRODUCTION WILL RESULT IN AN INTERVIEW, OFFER, OR PLACEMENT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLIPSIS AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100. THIS SECTION DOES NOT LIMIT LIABILITY WHERE PROHIBITED BY LAW.
11. Indemnification
You agree to indemnify and hold Ellipsis harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or (for Companies) your hiring decisions or employment practices.
12. Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights.
12.1 Informal resolution. Before filing a claim, you agree to contact us at team@ellipsisconnect.com and attempt to resolve the dispute informally for at least 30 days.
12.2 Binding arbitration. Any dispute arising from these Terms or the Services that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its rules, conducted in Hillsborough County, Florida, or remotely by mutual agreement. This does not apply to claims that qualify for small claims court or to injunctive relief for misuse of intellectual property.
12.3 Class action waiver. You and Ellipsis agree to bring claims only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative action.
12.4 Opt-out. You may opt out of this arbitration provision by emailing team@ellipsisconnect.com within 30 days of first accepting these Terms, stating your name and intent to opt out.
13. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Subject to Section 12, you agree to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.
14. Changes to the Services or Terms
We may modify these Terms at any time. We will post the updated Terms with a new effective date. Continued use after changes take effect constitutes acceptance.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any applicable Order Form, are the entire agreement between you and Ellipsis regarding the Services.
